Address Requirements & Options

Wisconsin requires your registered agent to have a physical street address in the state — a location where someone can accept service of process in person during normal business hours. PO Boxes, virtual mailboxes, and UPS Store addresses do not qualify as a registered agent address.

However, your business mailing address (principal office address) is a separate field on your formation documents. You have several options for that:

  • Virtual mailbox (iPostal1, Anytime Mailbox, Earth Class Mail, etc.) — gives you a real street address for mail receiving and forwarding
  • UPS Store mailbox — provides a street-format address (not a PO Box number) for everyday business mail
  • Coworking space — many offer business address and mail handling as an add-on service
  • Executive suite or small office — a physical address you fully control
  • Home address — works fine, but becomes part of the public record

A common setup: use a virtual mailbox or coworking address as your business mailing address (for contracts, business cards, and everyday correspondence) and use Anchor Filings as your registered agent (so our Madison office handles service of process and your home address stays completely off the public record). This gives you privacy and professionalism without needing your own office space.

If you prefer to serve as your own registered agent, your home address satisfies the physical-address requirement — just be aware it will be listed on the DFI public record. You can always switch to a professional registered agent like Anchor Filings later.

What Happens If You Miss a Deadline

Wisconsin takes business compliance seriously. If your entity fails to file its annual report with the Department of Financial Institutions by the due date, the DFI can begin the process of administratively dissolving your LLC or revoking your corporation's authority to do business in the state.

Administrative dissolution means your business loses its legal standing. You cannot enter into contracts, file lawsuits, or conduct official business until the entity is reinstated. Reinstatement requires paying a $100 fee to the DFI plus all delinquent annual report fees that accumulated while the entity was out of compliance.
