Terms of Service

The terms and conditions governing your use of Anchor Filings services.

These Terms of Service ("Terms") govern your use of the Anchor Filings website (anchorfilings.com), client portal, and all services provided by Anchor Filings ("we," "us," or "our"). By placing an order, creating an account, or using our website, you agree to be bound by these Terms.

1. About Our Services

Anchor Filings is a business services company based in Madison, Wisconsin. We provide document preparation, filing assistance, and related business services. We are not a law firm and do not provide legal advice. Our services include:

  • Business entity formation (LLC, Corporation, Nonprofit) with the Wisconsin DFI
  • Registered agent services in Wisconsin
  • EIN/Federal Tax ID applications with the IRS
  • DBA/Trade name registrations
  • Beneficial Ownership Information (BOI) filings with FinCEN
  • Amendment, dissolution, and withdrawal filings
  • Certificate of Good Standing requests
  • EIN Update / Responsible Party Changes (Form 8822-B)
  • Operating agreement preparation
  • Federal trademark registration with the USPTO
  • Trademark office action responses
  • Domain search, registration, and management
  • Annual report preparation and filing
  • Compliance monitoring and alerts

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms. By using our services, you represent that all information you provide is truthful, accurate, and complete.

3. Placing an Order

3.1 Order Process

When you place an order through our website, you select services and add them to your cart, provide contact information at checkout, and verify your identity via email and phone. After checkout, you complete a client questionnaire providing the details we need to complete your filing.

3.2 Order Acceptance

Your order is a request for services and is not binding on us until we accept it. We reserve the right to decline an order for any reason, including suspected fraud, incomplete information, or services outside our scope. If we decline an order, we will issue a full refund.

3.3 Your Responsibility for Accuracy

You are solely responsible for the accuracy and completeness of all information provided in your order and questionnaire. We file documents based on the information you supply. Errors in your submission may result in rejected filings, additional state fees, or the need for amendments at additional cost. Anchor Filings is not responsible for filings rejected or delayed due to inaccurate information provided by you.

4. Pricing and Payment

4.1 Service Pricing

All prices are displayed on our Services & Pricing page and are quoted in U.S. dollars. Prices include applicable government filing fees as stated in the service description. Prices are subject to change; however, changes do not affect orders already placed.

4.3 Recurring Services

Registered Agent ($59/yr), Compliance Pro ($179/yr), and Domain Management ($59/yr per domain) are annual subscriptions that renew automatically. Bundle packages renew at their stated annual rates (Formation + Compliance at $179/yr, Business Launch at $179/yr, Brand Protection at $379/yr). We will send a renewal reminder at least 30 days before your renewal date.

You can cancel any recurring service at any time from the Subscriptions tab of your client portal. Cancellation takes effect at the end of your current paid term: you keep full service through that date, and no further charges are made. You may reactivate a pending cancellation before the term ends. After cancellation your client portal and previously delivered documents remain available to you.

4.4 Government Fees

Where our pricing states that government fees are "included," those fees are bundled into the service price. If a government agency increases its fees after you place an order but before we file, we will notify you of any additional amount due before proceeding. County recording fees for DBA registrations may vary by county and are listed separately.

5. Service Delivery and Timelines

5.1 Processing

We begin processing your order after you complete the client questionnaire with all required information. Incomplete questionnaires may delay processing.

5.2 Estimated Timelines

  • LLC Formation: Online filings with the Wisconsin DFI are often processed the same business day. Mail filings take 5–7 business days.
  • Corporation & Nonprofit Formation: Typically 5–10 business days via the DFI.
  • EIN Application: Online applications are typically processed the same day. Fax/mail filings (required for foreign nationals without an SSN/ITIN) take 4–8 weeks.
  • Federal Trademark Registration: The typical timeline from filing to registration is 8–12 months, subject to USPTO processing times and any office actions.
  • BOI Filing: Typically submitted within 3–5 business days of receiving complete information.
  • All Other Filings: Typically submitted within 3–7 business days of receiving complete information.

These timelines are estimates, not guarantees. Government processing times are outside our control and may vary.

5.3 Document Delivery

All filed documents, confirmations, and deliverables are made available through your secure client portal. We will notify you via email when documents are ready for download.

6. Client Portal and Account

6.1 Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must promptly notify us if you suspect unauthorized access to your account. We are not liable for any loss resulting from unauthorized use of your account.

6.2 Portal Features

Your client portal provides access to order tracking, filed documents, messaging with our team, compliance deadlines, and account management. Portal access requires email and phone verification.

6.3 Account Termination

You may close your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms, provide fraudulent information, or engage in abusive behavior. Upon termination, your access to the portal ceases, but we retain records as described in our Privacy Policy.

7. Registered Agent Services

7.1 Scope of Service

As your registered agent, Anchor Filings maintains a physical street address in Madison, Wisconsin to receive service of process and official correspondence on your entity's behalf during normal business hours. We will:

  • Accept legal documents, state correspondence, and tax notices addressed to your entity
  • Scan and upload received documents to your client portal promptly
  • Notify you via email when new documents are received

7.2 Limitations

Our registered agent address may not be used as your business mailing address, as a virtual office, or for receiving personal mail. We are not responsible for documents sent to an address other than our registered agent address or delivered outside normal business hours by methods other than personal service.

7.3 Resignation

If you cancel registered agent services or allow your subscription to lapse, we will file a resignation as your registered agent with the Wisconsin DFI after providing you 60 days' written notice. You are responsible for appointing a replacement registered agent before our resignation takes effect. Failure to maintain a registered agent may result in administrative dissolution of your entity by the state.

8. Intellectual Property

All content on our website, including text, design, logos, graphics, and software, is the property of Anchor Filings and is protected by copyright and trademark law. You may not reproduce, modify, or distribute our content without written permission.

Documents prepared specifically for you (articles of organization, operating agreements, etc.) are your property upon delivery. Templates and standard language used in those documents remain our intellectual property.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Anchor Filings' total liability for any claim arising from or related to our services shall not exceed the amount you paid for the specific service giving rise to the claim.
  • We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business opportunities, or damage to reputation.
  • We are not liable for delays, errors, or rejections caused by government agencies, including the DFI, IRS, USPTO, or FinCEN.
  • We are not liable for damages resulting from inaccurate information you provide.
  • We are not liable for the legal, tax, or business consequences of the entity type, structure, or filings you choose.

10. Indemnification

You agree to indemnify and hold harmless Anchor Filings, its owners, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of our services; (b) inaccurate information you provide; (c) your violation of these Terms; or (d) your violation of any law or third-party rights.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at support@anchorfilings.com and attempt to resolve the dispute informally for at least 30 days.

11.2 Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any disputes not resolved informally shall be brought exclusively in the state or federal courts located in Dane County, Wisconsin, and you consent to the jurisdiction of those courts.

11.3 Limitation Period

Any claim arising from or related to these Terms or our services must be brought within one (1) year after the cause of action accrues.

12. Changes to These Terms

We may modify these Terms at any time. Updated Terms will be posted on this page with a new effective date. For material changes, we will notify active account holders by email at least 30 days before the changes take effect. Continued use of our services after the effective date constitutes acceptance of the revised Terms.

13. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, Refund Policy, and Disclaimer, constitute the entire agreement between you and Anchor Filings.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
  • Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
  • Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including government shutdowns, natural disasters, pandemics, or internet outages.
